TERMS OF USE OF MNFINDALAWYER.COM

The web site mnfindalawyer.com ("Site") is an online content provider and constitutes a service of the Minnesota State Bar Association ("MSBA"). It is provided to the public and to MSBA members. All information and content available on the Site may be used solely under the following terms and conditions of use ("Terms of Use"):

User. A "User" is an active MSBA member in good standing and any individual to whom the MSBA, in its sole discretion, grants temporary or provisional access to the Site regardless of membership status. A member of the public who uses the site for obtaining referrals to MSBA member attorney is also a user and is sometimes distinguished as a "Public User" in this agreement.

Content. "Content" of the Site includes any and all materials contained on the site, including, without limitation, all text, links, graphics, audio, video, logos, button icons, legal and non-legal forms, and images.

Not Legal Advice. Content on the Site is not intended to and does not constitute legal advice. No attorney-client relationship is formed between Users and the MSBA. Nothing submitted to the Site shall be treated as confidential. No information provided to staff of mnfindalawyer.com and/or the MSBA will be considered confidential or as creating an attorney-client relationship. The MSBA does not warrant or guarantee the accuracy, completeness, adequacy, or currency of the information contained in or linked to the Site.

Referrals to Lawyers. A referral to a lawyer who has indicated his or her willingness to accept cases in a particular area of law does not mean that mnfindalawyer.com or the MSBA has certified such lawyer as a specialist or an expert in the indicated field of practice, nor does it mean that the lawyer is necessarily any more expert or competent than any other lawyer. mnfindalawyer.com and the MSBA does not require lawyers to have malpractice insurance coverage, nor to divulge any incidents of professional discipline. Public Users are responsible for making an independent investigation and evaluation of any lawyer being considered.

Lawyers Listing on the Site. Lawyers who pay for and list on the Site are defined as a User in this Agreement and are subject to further Conditions of Use for Attorney Listings

Commercial Use Prohibited. A User may not decompile, reverse engineer, disassemble, rent, lease, loan, sell, sublicense, or create derivative works or content from the Site other than pursuant to these Terms of Use. This prohibition includes all information, content and software made available on the Site. Users may not copy, modify, reproduce, republish, distribute, display, or transmit for commercial, nonprofit, or public purposes all or any portion of the Site, except to the extent permitted by these Terms of Use. Users may not export or re-export any portion of the Site in violation of the export control laws and regulations of the United States of America. Any unauthorized use of the Site or its content is expressly prohibited and may result in legal action, including, without limitation, injunctive relief.

Copyright. All content on the Site is subject to federal copyright laws. In all cases, content is copyrighted by the Minnesota State Bar Association, except content that is authored and contributed by third-party individuals, which may be covered by additional copyrights. Except as expressly provided by these Terms of Use, no content may be reproduced, altered, distributed, transmitted, displayed, or published without the prior written permission of the MSBA, and, where appropriate, any third-party copyright holders.

Content on the Site may not be sold under any circumstances, except content wholly owned by a third party after the User obtains proper permissions from the third party.

Any content that carries a mnfindalawyer.com or MSBA logo, copyright, or other identifying mark may only be reproduced in such a manner that the mark is preserved, except as otherwise explicitly provided.

Advertisers. The Site may contain advertising and sponsorship. Advertisers and sponsors are responsible for ensuring that content submitted for inclusion on the Site is accurate and complies with all applicable laws. The MSBA is not responsible for the legality, accuracy, completeness, timeliness, or reliability of any content submitted by sponsors or advertisers.

Accuracy of Content. The MSBA does not represent or warrant that the Site will be free of errors, viruses, or other harmful components, or that defects will be corrected. The MSBA does not warrant or represent that the information available on or through the Site will be correct, accurate, timely, or otherwise reliable. The MSBA may make improvements and changes to its features, functionality, or content at any time.

Third-Party Content. Third-party content may appear on the Site or may be accessible via links from the Site. The MSBA is not responsible for and assumes no liability for any mistakes, misstatements of law, defamation, slander, libel, omissions, falsehood, obscenity, pornography, or profanity in the statements, opinions, representations, or any other form of content contained in any third-party content appearing on the Site. Users understand that material or information submitted by a third party represents solely the thoughts of the thirdpand is neither endorsed by nor does it reflect the belief of the MSBA.

DISCLAIMER. THE SITE IS PROVIDED ON AN "AS IS" BASIS. THE MSBA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE MSBA DISCLAIMS ALL RESPONSIBILITY FOR ANY LOSS, INJURY, CLAIM, LIABILITY, OR DAMAGE OF ANY KIND RESULTING FROM, ARISING OUT OF OR ANY WAY RELATED TO (A) ANY ERRORS IN OR OMISSIONS FROM THE SITE AND ITS CONTENT, INCLUDING BUT NOT LIMITED TO TECHNICAL INACCURACIES AND TYPOGRAPHICAL ERRORS, (B) ANY THIRD-PARTY WEB SITES OR CONTENT THEREIN DIRECTLY OR INDIRECTLY ACCESSED THROUGH LINKS IN THE SITE, INCLUDING BUT NOT LIMITED TO ANY ERRORS IN OR OMISSIONS THEREFROM, (C) THE UNAVAILABILITY OF THE SITE OR ANY PORTION THEREOF, (D) THE USERS USE OF THE SITE, OR (E) THE USERS USE OF ANY EQUIPMENT OR SOFTWARE IN CONNECTION WITH THE SITE.

LIMITATION OF LIABILITY. THE MSBA IS NOT LIABLE FOR ANY LOSS, INJURY, CLAIM, LIABILITY, OR DAMAGE OF ANY KIND RESULTING FROM USE OF THE SITE, NOR IS THE MSBA LIABLE FOR ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTAL DAMAGES OF ANY KIND WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ATTORNEY'S FEES) IN ANY WAY DUE TO, RESULTING FROM, OR ARISING IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE WEB SITE OR ITS CONTENT. TO THE EXTENT THIS LIMITATION ON LIABILITY IS PROHIBITED, THE MSBA'S SOLE OBLIGATION TO USERS FOR DAMAGES IS LIMITED TO $10.00.

Unlawful Activity and/or Unauthorized Use of Site. The MSBA reserves the right to investigate complaints or reported violations of these Terms of Use and to take any action deemed appropriate, including commencing a civil action and/or reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information whatsoever to such persons or entities relating to User profiles, e-mail addresses, usage history, posted materials, IP addresses, and traffic information.

Indemnification. Users are solely liable for any content, messages, or other information transmitted, provided, or uploaded to the Site. Each User agrees to indemnify and hold harmless the MSBA from any third-party claim, action, demand, loss, or damages (including attorney's fees and costs) arising out of or relating to the violation of these Terms of Use, the use of the Site, or user's violation of any rights of a third party.

Governing Law and Jurisdiction. These Terms of Use are governed by and shall be construed in accordance with Minnesota law. Any action arising out of or relating to these terms and conditions shall be filed only in state or federal courts located in Hennepin County, Minnesota. Users consent and submit to the personal jurisdiction of such courts for the purpose of litigating any such action.

Severability of Provisions. If any provision of these terms and conditions are unlawful, void, or unenforceable, then that provision will be deemed severable from the remaining provisions and will not affect the validity and enforceability of the remaining terms and conditions.

Modifications to Terms of Use. The MSBA reserves the right to change these Terms of Use at any time. Updated versions of the Terms of Use will appear on the Site and are effective immediately. Each User is responsible for regularly reviewing the Terms of Use. Continued use of the Site after any such changes constitutes consent to such changes.
