| Description of Practice or Services: | I have been practicing law for twelve years and my areas of expertise include business law, mergers and acquisitions, estate planning and probate law. I represent emerging and established companies. I guide clients through entity selection and organizational structuring. I advise business clients on a multitude of issues including governance, business succession planning, contract negotiation and review, retaining employees and contractors, reorganizations and dissolution. I provide experienced legal counsel for stock and assets sales and mergers. I negotiate terms, draft sale and merger documents, assist with identifying financing, coordinate ancillary arrangements such as consulting agreements, conduct the closing of the transaction and monitor post-closing matters. I have successfully handled and closed numerous multi-million dollar asset sales. My practice also includes estate planning and probate law. I structure and prepare a wide range of estate plans, from simple wills to complex multi-trust plans. I also advise clients regarding related issues including re-titling of assets, health care directives and beneficiary designations. With regard to estate administration I have several years experience guiding clients through the probate and estate administration process. |
